1. Acceptance of Terms

Welcome to UnifyTech ("we", "our", "us"). By accessing our website https://unifytech.com (the "Site"), purchasing or using our products, software, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access the Site or use our Services.

These Terms apply to all visitors, users, and others who access or use the Services. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms, and "you" will refer to that organization.

2. Products and Services

Hardware Products

All hardware products are subject to our standard product warranty, which is included with each product purchase. Warranty terms are specific to each product and are provided in the product documentation.

Software and Services

Our UnifyOS operating system and related software products are licensed, not sold, to you under the terms of our End User License Agreement (EULA), which is included with the software. Your use of the software is subject to the terms of the EULA.

Purchasing Terms

All purchases are subject to our ordering, pricing, and payment terms as specified at the time of purchase. We reserve the right to change prices for products and services at any time without prior notice.

3. Order Acceptance and Cancellation

All orders are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraud. If we cancel your order after payment has been processed, we will issue a full refund.

4. Shipping and Delivery

Shipping and delivery times are estimates only and are not guaranteed. We are not responsible for delays in shipping or delivery caused by third-party carriers, customs processing, or other circumstances beyond our control. Risk of loss for products passes to you upon delivery to the carrier.

5. Returns and Refunds

We offer a 30-day return policy for hardware products purchased directly from us. Products must be returned in original packaging and in unused condition. Return shipping costs are the responsibility of the customer unless the return is due to our error or a defective product. Refunds will be processed within 14 business days of receipt of the returned product.

Software products, once downloaded or activated, are not eligible for return or refund. Subscription services may be canceled at any time, but no partial refunds are provided for unused portions of the subscription period.

6. Intellectual Property Rights

The Site, our products, software, services, and all content contained therein, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of UnifyTech or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

You may not modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site or in our products without our prior written consent.

UnifyTech, UnifyOS, Edge AI Pro, AI NAS, and all related names, logos, product and service names, designs, and slogans are trademarks of UnifyTech. You may not use such marks without our prior written permission.

7. User Accounts

Certain features of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account at any time, in our sole discretion, for any reason, including if we believe you have violated these Terms.

8. Prohibited Uses

You agree not to use the Services:

  • In any way that violates any applicable national or international law or regulation
  • To exploit, harm, or attempt to exploit or harm minors in any way
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation
  • To impersonate or attempt to impersonate UnifyTech, a UnifyTech employee, another user, or any other person or entity
  • To interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services
  • To use the Services for any commercial purpose without our express written consent
  • To reverse engineer, decompile, disassemble, or attempt to derive the source code of any software provided as part of the Services

9. Limitation of Liability

IN NO EVENT SHALL UNIFYTECH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SERVICE THAT GAVE RISE TO THE CLAIM.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. UNIFYTECH MAKES NO WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless UnifyTech, its subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall first be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation, either party may submit the dispute to arbitration in Shanghai, China, in accordance with the rules of the Shanghai International Arbitration Center. The arbitral award shall be final and binding on both parties.

13. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Any waiver of any term or provision of these Terms shall not be considered a waiver of any other term or provision, nor shall any such waiver constitute a continuing waiver.

15. Entire Agreement

These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have had between us regarding the Services.
